Power Hour Terms & Conditions

These Terms & Conditions apply to bookings for the Power Hour service offered by Edify & Empower Tutoring.
By paying for a Power Hour, you confirm you have read, understood, and agree to these terms.

BACKGROUND:

Rachel Ballantyne of Edify & Empower Tutoring (the “Service Provider”) provides Tutoring, Speaking and Consultancy Services or any other services agreed between the parties to business clients (the “Client”). The Service Provider has reasonable skill, knowledge and experience in that field. The Parties agree that the Power Hour detailed herein shall be subject to the Terms and Conditions contained here.

Services Booked:

1. The Client has opted for the “Pick My Brains” Power Hour.

2. The Power Hour will take place, as agreed, with the Service Provider on the date and time specified in your booking confirmation, once the booking has been made.

3. The Power Hour consists of a 60 minute meeting, the Service Provider’s limited preparation time and a 1-page summary report. When booking the Power Hour the Client agrees to indicate their preference in relation to how the meeting will be facilitated namely by either Virtual Zoom or Google Meet.

In advance of the Session:

4. The Client will be sent a Power Hour Information form to be completed. This form must be completed at least 24 hours prior to the Power Hour scheduled date and time. In the event that Power Hour Information form is not completed at least 24 hours prior to the Power Hour the Service Provider reserves their right to cancel the Power Hour. If the Power Hour is cancelled on this basis the Client will not be entitled to reschedule the Power Hour and the payment will be forfeited.

During the Power Hour:

5. The Power Hour will utilise the Service Provider’s expertise and give the Client the opportunity to ask any questions on a one-to-one basis. The Service Provider will walk through their recommendations and discuss any questions the Client may have.

Intellectual Property:

6. The Service Provider is confident that the Power Hour will add value to the Client’s business. Accordingly the Service Provider will not restrict the intellectual property during the session. Any elements the Client brings to the discussion will continue to remain the Client’s sole intellectual property. Any ideas the Client takes away from the Power Hour may be used in the Client’s business. This means that the Client will be granted a licence to use any ideas discussed in the Power Hour in their business. The Client is not however permitted to sub-licence, sell, lend or give any of Our intellectual property to any other person or business for commercial purposes or otherwise.  After the Power Hour should the Client wish to proceed with implementing any strategy a full contract will be provided and the next steps discussed.

Fees:

7. An amount of £99 is payable by Stripe by the Client and a receipt will be issued with a copy of these terms and conditions. 

8. Unless and until the Power Hour Fee of £99 is paid the Power Hour will not become a confirmed booking.

Cancellation or Rearrangement:

9. The Service Provider understands there will be occasions where the Power Hour needs to be rearranged. In the event that the Client needs to rearrange the Power Hour the Service Provider asks that as much notice is given as possible. The Service Provider will, subject to availability, try to facilitate an early rearrangement date. However where a rearrangement request is received less than 24 hours prior to the scheduled Power Hour date and time the Client will forfeit the Power Hour Fee already paid.

10. Where the Client seeks to cancel the Power Hour after the Fee has been paid the Fee will be forfeited. No refund will be provided in this respect.

11. In the event that the Service Provider is unable to facilitate the Power Hour, due to ill-health or any other reason, the Service Provider will use their best endeavours to reschedule the Power Hour as soon as possible. Thereafter and in the event the Service Provider is unable to offer a new date and time within 14 days the Client will be entitled to a refund of the Fees paid. Refunds under this Clause will be returned to the Client within 14 days of the same being requested.

After the Power Hour:

12. After the Power the Service Provider will provide to the Client a 1-page summary report which shall include recommendations regarding next steps.

Confidentiality:

13. The Service Provider understands as a business owner confidentiality is important. Accordingly by signing these Terms and Conditions both Parties agree that at all times, and for a period of 2 years after termination, all information will be kept confidential. The exception to this obligation will be where either Party is obligated, by means of law, to disclose information to limited third parties.

Personal Information – Data Protection Legislation:

14. All personal data that the Service Provider may use will be collected, processed, and held in accordance with the provisions of the Data Protection Legislation and the Client’s rights thereunder.

15. For complete details of the Service Provider’s collection, processing, storage, and retention of personal data including, but not limited to, the purpose(s) for which personal data is used, the legal basis or bases for using it, details of the Client’s rights and how to exercise them, and personal data sharing (where applicable), please refer to the Provider’s Privacy Notice available from the Service Provider’s website: www.edifyempowertutoring.co.uk 

Limitation of Liability:

16. Neither Party shall be liable to the other for any loss of profit, indirect, special or consequential loss or damages.

17. Nothing in these Terms and Conditions shall exclude or limit either Party’s liability for death or personal injury resulting from its negligence, fraud or fraudulent misrepresentation, any breach of these Terms and Conditions or other form of liability that cannot be excluded or limited by law.

18. Each Party’s total liability to the other in respect of any claims arising out of, or in connection with, these Terms and Conditions, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the total sums paid or payable by the Client to the Service Provider for the Power Hour.

Law and Jurisdiction:

19. These Terms and Conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by, and construed in accordance with, the laws of England and Wales.

Agreement:

By making payment, you are confirming your agreement to these Terms and Conditions and entering into a binding agreement with us.
